Terms & Conditions

These Terms and Conditions ("Terms") form a binding agreement between Lekker Financials ("Lekker", "we", "us" or "our") and you ("you", "user" or "account holder") in respect of your access to and use of the Lekker Financials platform and related services (the "Service" or "Platform").

By registering an account, logging in, uploading information or otherwise using the Service, you confirm that you have read, understood and agree to these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of a practice, employer or other entity, you confirm that you have the authority to bind that entity to these Terms, in which case "you" includes that entity.

• •"Platform" or "Service" means the Lekker Financials software platform, including its web application, features, integrations and generated outputs;
• •"Financial Year" means a reporting period for a particular entity for which financial statements are prepared through the Platform;
• •"Financial Year credit" means a purchased entitlement that unlocks one Financial Year for editing, generation and export;
• •"Trial Balance" means the accounting data you upload to the Platform for a Financial Year;
• •"Mapping" means the classification of trial balance accounts to financial statement line items;
• •"Generated Output" means any financial statement, note, journal suggestion, disclosure, report or PDF produced by the Platform;
• •"Accountant" or "Practice" means a user operating a multi-entity workspace on behalf of clients; and
• •"Business Owner" means a user operating a workspace for their own entity or a small group of entities.

You may register an account only if you are legally able to form a binding contract under applicable South African law. You must provide accurate, current and complete information when registering and keep it up to date.

Accounts are created through our authentication provider. You are responsible for all activity that occurs under your account and for ensuring that the information associated with your account remains accurate.

You are responsible for keeping your login credentials secure and confidential, and for all activity that occurs under your account. You must notify us promptly of any unauthorised use of your account or any other security breach.

We are not liable for losses arising from unauthorised access to your account where you have not taken reasonable steps to secure it. You agree not to share your account credentials in a manner that would allow unauthorised access.

Lekker is a software tool that assists bookkeepers, accountants and business owners with the preparation, presentation and management of annual financial statements. The Platform provides features such as trial balance import, automated account mapping, journal capture, disclosure questionnaires, health-check validation and PDF export.

Lekker provides software and automation only. It does not itself provide accounting, auditing, tax, legal or other professional advice, and nothing on the Platform should be interpreted as such.

You agree not to:

• •Use the Service for any unlawful, fraudulent or deceptive purpose;
• •Upload or process information you do not have the right or authority to upload;
• •Attempt to gain unauthorised access to the Platform, its systems or another user’s data;
• •Interfere with, disrupt or reverse-engineer the Platform;
• •Use the Service to store or transmit malicious code or harmful content; or
• •Use the Service in a manner that could damage, disable or impair the Platform.

You may upload information to the Platform, including trial balances, accounting records, company information, director and shareholder details, ID numbers and other personal information relating to your clients or third parties.

You are responsible for ensuring that you have the necessary authority and lawful basis to upload and process that information through Lekker, and that you only upload information reasonably necessary for the Service. Further detail is set out in our Privacy Policy.

You are solely responsible for the accuracy, completeness and lawfulness of all information you upload to or enter into the Platform. The Service relies on that information, and Generated Outputs will only be as accurate and complete as the information you provide.

Lekker does not verify the truth, accuracy or completeness of information you supply, and is not responsible for errors in Generated Outputs that result from incorrect, incomplete or misleading input.

Lekker provides automated and AI-assisted tools to help you prepare, review and present financial information. These tools may make suggestions or classifications based on information supplied to Lekker, including:

• •Automated or AI-assisted account mapping and classification of trial balance accounts;
• •Suggested journals and suggested adjustments, including tax-related journals;
• •Suggested disclosures and accounting-policy wording; and
• •Automated financial-statement generation and presentation.

These tools are assistance tools only. They may produce suggestions that are incomplete, incorrect or inappropriate for your circumstances. You remain responsible for reviewing those suggestions and determining whether they are appropriate for your circumstances before finalising or relying on the resulting financial statements. Lekker does not guarantee that any suggestion, mapping, journal or disclosure is correct, IFRS-compliant, tax-compliant or suitable for a particular purpose.

The Platform generates financial statements from the trial balance and other information you provide, together with any journals you have entered or approved. Generated Outputs are produced by deterministic calculation and automated processes applied to your inputs.

The Platform may present statements in line with the IFRS for SMEs Accounting Standard and South African reporting practice, but compliance with any particular framework remains your responsibility to assess and confirm.

You are responsible for reviewing all mappings, classifications, journals, adjustments, disclosures and financial statement presentation before approving, signing, finalising or distributing any Generated Output.

The Platform may highlight items for review (such as unmapped accounts or balance issues), but the absence of a highlighted item does not mean the output is correct or complete. Nothing on the Platform replaces your professional review and judgement.

The Platform may suggest disclosures, notes and accounting-policy wording based on the information you provide and the answers you give in disclosure questionnaires. Suggested wording is a starting point only and may require editing to accurately reflect your entity’s circumstances.

You are responsible for ensuring that disclosures and accounting policies are appropriate, complete and accurately worded for your entity and the applicable reporting framework.

You acknowledge that the accuracy and completeness of any financial statement produced through the Platform depends on the information you provide and the review and approval you carry out. Lekker does not warrant or guarantee that any financial statement produced through the Platform is correct, complete, IFRS-compliant, tax-compliant or suitable for any particular purpose.

You remain responsible for the final financial statements you approve, sign or distribute, and for obtaining appropriate professional review where required.

Lekker is a software tool that assists with financial statement preparation. The Service does not constitute, and should not be relied upon as, accounting, auditing, tax, legal or other professional advice, an audit, an independent review, a compilation engagement or any form of assurance engagement unless expressly stated otherwise in writing.

You should consult a suitably qualified professional where you need specific advice or where an audit, independent review or other assurance engagement is required.

The Platform can export Generated Outputs as PDF documents. Exported documents reflect the information and approvals in the Platform at the time of export. You are responsible for reviewing any exported document before relying on, signing or distributing it.

Draft watermarks or similar indicators may be applied to outputs that have not been finalised. You must not remove or alter such indicators where they indicate an output has not been finalised.

If you operate a Practice workspace, you may invite team members and assign them roles and permissions, and assign members to specific entities. As the workspace administrator, you are responsible for the conduct of members you invite and for managing their access.

You agree to manage permissions appropriately and to remove access promptly when a member no longer requires it. Lekker may act on instructions from authorised administrators of your workspace.

• •Lekker is purchased using Financial Year credits rather than a conventional monthly subscription;
• •Each Financial Year credit unlocks one Financial Year for editing, generation and export for a single entity;
• •Credits are purchased through the Platform using available payment methods and are processed by third-party payment providers;
• •Volume-based pricing may apply for bulk credit purchases, as displayed at the time of purchase;
• •Referral credits are granted in accordance with the referral programme terms and may be subject to eligibility requirements;
• •Specific expiry periods for credits, if any, will be communicated at the time of purchase; and
• •Payment processing is handled by third-party providers. Lekker is not responsible for payment-provider errors, delays or failures.

Your first Financial Year may be provided free of charge, as indicated at sign-up. Subsequent Financial Years are purchased as credits. Pricing is displayed within the Platform and on our pricing page at the time of purchase and may change from time to time.

The price applicable to a purchase is the price displayed at the time the purchase is completed.

The Platform, its software, branding, interface, templates, wording, content and underlying intellectual property remain the property of Lekker Financials. You may not copy, modify, distribute, reverse-engineer or create derivative works of the Platform without our prior written consent.

You retain ownership of all data and information you upload to the Platform. Lekker retains ownership of the Platform’s templates, generated mappings, standard wording and functionality.

The Platform may integrate with or rely on third-party services (such as authentication, hosting, payment processing and document generation). Your use of such third-party services may be subject to their own terms and policies.

Lekker is not responsible for the acts or omissions of third-party service providers, or for any interruption caused by them.

We process personal information in accordance with our Privacy Policy and applicable South African data protection legislation, including the Protection of Personal Information Act, 2013 (POPIA), where applicable.

You are responsible for ensuring you have the appropriate authority and lawful basis to upload and process any personal information (including information about your clients, directors, shareholders and other third parties) through the Platform.

We aim to keep the Platform available but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, infrastructure issues or events outside our control.

We may modify, suspend or discontinue features of the Platform at any time, and will use reasonable efforts to notify you of material changes where appropriate.

We take reasonable steps to protect data stored on the Platform, but no electronic storage or transmission is completely secure. You are responsible for maintaining appropriate copies and backups of your original records and information outside the Platform.

To the extent permitted by law, we are not liable for loss or corruption of data beyond our reasonable control.

We may suspend or terminate your access to the Platform where you breach these Terms, misuse the Service, engage in fraudulent or unlawful conduct, or for other legitimate reasons, to the extent permitted by applicable law.

You may stop using the Platform at any time. Upon termination, your right to access the Platform ceases, subject to any rights you have accrued in respect of purchased Financial Year credits and any rights that cannot lawfully be excluded.

Refunds, cancellations and the treatment of unused credits are governed by our Refund & Cancellation Policy, which forms part of these Terms.

To the maximum extent permitted by applicable law, Lekker shall not be liable for:

• •Errors, inaccuracies or omissions in Generated Outputs resulting from incorrect, incomplete or misleading information you provide;
• •Incorrect automated mappings, classifications, journals or disclosures;
• •Your reliance on any Generated Output without appropriate review;
• •Loss or corruption of data you upload;
• •Service interruptions or unavailability; or
• •Indirect, incidental, special or consequential losses arising from your use of the Platform.

Nothing in these Terms purports to exclude, restrict or modify any liability or consumer right that cannot lawfully be excluded, restricted or modified under applicable South African law, including rights under the Consumer Protection Act, 2008 (CPA) where applicable.

To the extent permitted by applicable law, you agree to indemnify and hold Lekker harmless from any claims, losses, damages, liabilities and expenses (including reasonable legal costs) arising from your use of the Platform, your breach of these Terms, or your uploading or processing of information through the Platform, except to the extent caused by our gross negligence or wilful misconduct.

We may update these Terms from time to time. We will use reasonable efforts to notify you of material changes, for example through the Platform or by other means. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

The "Last updated" date at the top of this page indicates when these Terms were last revised.

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising in connection with these Terms shall be dealt with in accordance with applicable South African legal procedures, and the South African courts shall have jurisdiction, subject to any rights you may have to approach another competent forum.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
